Introduction
These Standard Terms and Conditions (“Terms”) govern the provision of services, including but not limited to consultancy, project management, configuration and customization, and deployment services (“Services”) by Power Pac Solutions Limited (“Company”) to the client (“Client”). The Client agrees to be bound by these Terms when they engage the Company’s services.
These terms apply unless we specifically agree different terms for a particular engagement. When you accept our proposal in writing or simply ask us to commence work, we will consider that you have accepted our terms and conditions as outlined within this document.
Proposals
We provide proposals for all chargeable work. Each proposal includes the following key elements: our understanding of the project scope and engagement, the outcomes you anticipate, our estimated fees and the assumptions they are based on, and our proposed resourcing and availability.
Before we commence work, we agree on the scope and provide an estimate of the likely fees. Please note that additional fees may arise if the scope of work changes or if unexpected challenges or delays occur.
The proposal or estimate sent to you will outline the anticipated project costs. Actual costs may vary from this estimate. We will discuss and agree on a Change Order detailing the expected additional work if additional resources are needed beyond the agreed hours.
Scope of work
The following activities are examples of billable work and will be factored into the proposal:
- Time spent on phone discussions about the project
- Meetings related to the project
- Planning, managing, and status reporting of the project
- Designing, configuring, programming, and testing any software solution, including but limited to:
- Developing custom Power Apps and Power Automate flows
- Integrating Power Platform solutions and Dynamics 365 with other systems
- Customizing Dynamics 365 CE modules to fit specific business processes
- Setting up and configuring Dynamics 365 security roles and permissions
- Training end-users on Power Platform and Dynamics 365 functionalities
- Creating required documentation
- Supporting User Acceptance Testing (UAT)
- Deploying the solution to Live
Fees
Power Pac Solutions Limited (“Our” or “We”) fees are based on a competitive consultancy day rate, plus out-of-pocket expenses and VAT:
Standard Day Rate: Our services are billed at a standard day rate based on a seven hour working day. Any work required outside these hours may be subject to additional charges.
- An additional hour is charged for onsite meetings with duration less than four hours.
- A full day is charged for any onsite work of at least five hours duration.
- All fees are exclusive of VAT and out-of-pocket expenses.
Expenses
Expenses include travel, subsistence and accommodation where necessary. We use the most economic and efficient means of travel; this will be standard class rail or mileage at 45p per mile.
Cancellations and rescheduling of meetings
We prepare for meetings at least 24 hours in advance to ensure everything runs smoothly. We understand that sometimes you may need to cancel or reschedule meetings on short notice. However, if you cancel or request a change in an accepted meeting date or time less than 24 hours before the scheduled start, we will need to charge for the time that was allocated and any out-of-pocket expenses incurred. These charges would be additional to any fixed price arrangement that has been agreed upon.
For agreed bookings of remote or onsite days, we require five working days cancellation notice. If replacement day(s) cannot be arranged on another project for the resource booked, we will charge for the time initially planned.
Invoicing
The Company will invoice the Client on a monthly basis at the end of each month for services rendered.
Payment Terms: Payment is due within 14 days of the invoice date.
Any queries concerning invoices must be raised with us within 14 days of the date of issue of the invoice.
Delayed payment
We reserve the right to charge interest on late payment in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, which is simple interest at 8% above the Bank of England base rate. If you are having difficulty paying our invoices, then please get in touch at [email protected] as soon as possible and we will do everything we can to help. We reserve the right to discontinue services if we have not received payment.
Service Delivery
The Company is committed to delivering high-quality services and will use reasonable efforts to complete the services within the agreed-upon timeframe. We understand the importance of meeting deadlines and strive to adhere to the project schedule as closely as possible. Our approach includes:
- Project Planning: We will create a detailed project plan outlining the key milestones and deliverables. This plan will be shared with you to ensure alignment on expectations.
- Resource Allocation: We will allocate the necessary resources to your project, ensuring that the team has the skills and expertise required to deliver outstanding results.
- Regular Updates: Throughout the project, we will provide regular updates on our progress. This includes status reports and check-ins to discuss any potential adjustments or challenges.
- Flexibility: While we aim to complete the services within the agreed timeframe, we recognize that project requirements can evolve. We are flexible and open to discussions about any necessary changes to the scope or timeline.
- Risk Management: We proactively identify and manage potential risks that could impact the project timeline. By addressing these risks early, we aim to minimize delays and ensure a smooth delivery process.
- Quality Assurance: Before final delivery, we conduct thorough testing and quality checks to ensure that the deliverables meet our high standards and your expectations.

For successful service delivery, we rely on the valuable input, review, and participation of your team. This collaboration typically involves activities such as requirements gathering, design sessions, working meetings, and day-to-day engagement tasks. Your interaction and support are essential to achieving the objectives of Power Pac Solutions Limited.

Intellectual Property
The Supplier and its licensors retain exclusive ownership of (i) all of their Background Materials; and (ii) ideas, concepts, techniques, and know-how discovered, created, or developed by the Supplier during the performance of the Services that are generally applicable and not based on or derived from the Client’s business or Confidential Information (“General IP”, collectively with the Background Materials, the “Supplier Intellectual Property”). The Supplier grants the Client a non-exclusive, irrevocable, worldwide, royalty-free, and non-transferable license to use the Supplier Intellectual Property.
Upon creation by the Supplier and receipt of full payment, all Intellectual Property Rights in customised materials or code created exclusively under the Services and expressly referred to as Customised IPR in the SOW (“Customised IPR”) shall automatically vest in the Client. The Supplier hereby assigns to the Client its present and future rights and full title and interest in such creations used to provide the Services. The Client grants the Supplier an irrevocable, worldwide, royalty-free licence for the duration of this Agreement to use such Customised IPR strictly for the purposes of providing the Services.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the course of the engagement. We will not disclose information, nor send reports or other information to third parties without your express permission. Should an external body contact us, we will ask your permission to discuss your affairs with them. Where data is to be processed, Power Pac Solutions Limited will adhere to a Data Processing Agreement which is signed by both parties.
Data Protection Act 2018 and General Data Protection Regulation 2018
We may obtain, use, process and disclose personal data about you in order that we may discharge the services agreed under the engagement and for other related purposes including updating and enhancing client records, analysis for management purposes and statutory returns, crime prevention and legal and regulatory compliance.
You have a right of access, under data protection legislation, to the personal data that we hold about you.
You also have the right to access, correct, delete, or restrict the processing of your personal data. Furthermore, you also have the right to data portability and the right to object to the processing of your personal data.

Termination
Either party may terminate the agreement with 30 days’ written notice. In the event of termination, the Client will be responsible for payment of any outstanding fees for services rendered up to the termination date.
Limitation of Liability
The Company’s total liability under this Agreement shall not exceed the total fees paid by the Client for the services provided under this Agreement.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
